yep it sounds like you have everything you need, and yes your master PC (the one thats connected to both your cable modem and the secon rj45 cable to your secondPC) needs to be on as it is in effect acting as your router.

your problem is just setting up the windows buildin ICS software thats acting as your router software
assuming you can use the master pc to connect to the net right now that that part is fine as you are getting all you need from the VM cm, so all you need now is to have windows ICS configure that second ethernet card in there to take and pass any dat the second pc will send and receave.
fromthe master PC open up the network connections and
click "network settup wisard".
next.
next.
select "this computer connects directly to the internet"
you will then see the two etehrnet cards, one will be the one thats connected directly to the CM on ethernet probably and the other is ethernet2 thats connected with the all important (because your not using a hardware router that does it automaticly)crossover cable.
it will most likely already know that right ethernet thats connected to the CM but select it if not.
next and so on, your done there.
now do exactly the same on the pc2 upstairs BUT this time sellect "this commputer connects to the internet through..."
if everything works right (windows is your enemy here and gets it wrong loads so you may have to do this several times....) then you can bring up your pc2 browser and the masterpc should now be acting as your router and the pc2 should know that masterpc is its gateway to the web.
be happy, and think about getting a cheap 4 port (wireless)router, (NOT a cheap
switch, as it looks the same but it IS NOT)
and 2 straight ethernet cables ,thay can be upto 100Meters long each, or a wireless PCi card.
if your going to go for wireless routers, your far better off getting the new 11n wireless routers and cards as several have the far faster 1gigbit wired ports on them and the wireless can take the new VM 50Mbit package at full speed, the old 11g cant run the cable at anything above 22Mbit max on a good day and averaging 15Mbit usually.
wired 1 gig, 10/100/
1000 router ports and matching 1 gig PCi cards in your pcs wont make the VM WAN/web part any faster than your paying VM for, but they do give you a far greater speed when your transfering data directly between your LAN side PCs so its werth the extra effort.
