As there are only 2 ways of connecting the modem to the PC then this should be simple, i would have thought.

I dont know how to do it with USB, but I did use ICS once when I was starting out. I had 2 nic cards in one comp and 1 nic in the other.
cable modem to one comp > then rj45 from that comp to the other. Just make sure ICS is enable on the main comp with 2 nics on.
