Yeah, that offer sounds too good to be true.
In my case I swapped an old silver Samsung SD box (ntl: branded) for a 500GB TiVo and was told all charges would be waived except £3/month for the TiVo service - even the move from M to M+ wouldn't have the attendant £6.50/month charge.
In reality, all charges were waived but the M+ package and TiVo service charge still apply so it's £9.50/month extra. Did try finding out why the M+ package upgrade was charged when I was told it wasn't but never got a definitive answer.
If there's one thing VM needs to do, it's streamlining services and pricing so there isn't a bunch of people on various different tiers, some of which don't exist any more, and all kinds of weird pricing deals that aren't consistent. It must make managing the business far harder than it needs to be. I understand why Retentions offer deals and why going through the CEO's office can result in similar deals but honestly it can lead to all sorts of problems, including jealously between customers. Plus mandatory upgrades would mean a better level of service for everyone... i.e. ditching those damn SD boxes and old V+ SA boxes so VM can move their whole TV network to MPEG-4. It's overdue.
